Owing to the winter storms that are disrupting participant's travel plans, the nFX annual meeting scheduled for January 10, 1996 will be rescheduled until later in the month of January. At that meeting, nFX's shareholders will be informed that nFX plans a $1 million private placement of preferred stock convertible into nFX common shares. This placement will be available only to the same nFX qualified shareholders that participated in a $2.5 million private placement of such shares in December 1993. Terms of the planned financing would permit Harris & Harris Group to purchase its pro- rata share of this private placement. Thus, Harris & Harris Group expects to maintain it's current 37.4 percent fully-diluted ownership interest in nFX.

At the nFX shareholders' meeting, nFX will also announce and demonstrate its Cartoon-O-Matic® Web page, which is expected to be on line in Mid-March. The Cartoon-O-Matic® Web page will demonstrate nFX's interactive Web technology by allowing Internet users to control cartoon characters and to create and capture professional quality drawings based on these cartoon characters -- all without special artistic training of talent.

nFX is a privately owned, development state company headquartered in Santa Clara, California. The company was incorporated and began commercial development in 1993 of the patented software that it has licensed exclusively from MIT.
